1. About this document

These Terms govern the provision by LLC HUDVIL TEKHNIKAL UKRAINA (referred to below as GoodWill Tech, we) of a managed presence service on the Threads social network (the Service) to clients — legal entities and sole traders (the Client, you).

These Terms apply together with our Privacy Policy and the individual service agreement. Where they conflict, the individual service agreement prevails.

2. What the Service is

The Service is the management of the Client's Threads account by GoodWill Tech. As part of the Service we:

• identify professional discussions on the topics agreed with the Client;
• draft replies in the voice of the Client's brand;
• publish replies and posts after a person has approved them;
• handle replies and mentions received by the Client's account;
• report to the Client on account and post performance.

The Service software is hosted and operated on GoodWill Tech infrastructure. The Client installs and maintains no software.

3. Who may use the Service

The Service is intended for businesses. By entering into an agreement you confirm that you are of legal age and are authorised to act on behalf of the Client.

4. Connecting the account

To operate the Service the Client grants GoodWill Tech access to their Threads account through Meta's official authorisation flow. The resulting access token is stored encrypted and is used solely to provide the Service to that Client.

The Client may revoke access at any time in their Threads account settings or by writing to super@good-will.biz. On revocation the Service stops immediately.

5. Our obligations

GoodWill Tech undertakes to:

• act strictly within the Client's instructions and the agreed topics;
• publish nothing without human approval;
• comply with Threads platform rules and its rate limits, and with our own stricter internal limits on publishing frequency;
• never use one Client's data to serve another Client;
• not disclose the Client's data to third parties, other than providers engaged to deliver the Service and cases required by law.

6. The Client's obligations

The Client undertakes to provide accurate information about itself and its business, to hold all rights to the materials it passes to us for publication, and not to instruct us to publish material that breaches Ukrainian law, the Threads community guidelines, or third-party rights.

The Client is responsible for the content it has approved for publication.

7. Limitations of the Service

The Service depends on the availability and terms of the Threads API. Meta Platforms may unilaterally change its rules, limits and the set of available features; such changes are outside our control.

We do not guarantee any particular number of followers, views, reactions or enquiries. The Service is aimed at the quality of presence, not at a guaranteed numerical outcome.

8. Content rights

The Client remains the owner of its account and its content. For the term of the agreement the Client grants GoodWill Tech a limited right to publish material on its behalf solely within the scope of the Service.

9. Fees

The price of the Service and the terms and timing of payment are set out in the individual agreement or invoice.

10. Confidentiality and personal data

The processing of personal data is described in our Privacy Policy. For data that reaches us in the course of providing the Service, a separate data processing agreement is signed with each Client. Data is deleted at the Client's request and after termination of the agreement, within the period set by the data processing agreement.

11. Suspension and termination

We may suspend or terminate the Service if the Client breaches these Terms or the platform rules, if required by Meta Platforms or by law, or if the Client fails to pay within the agreed period.

Either party may terminate the agreement in the manner set out in the individual agreement. On termination we cease all access to the Client's account and delete the Client's data.

12. Liability

GoodWill Tech is not liable for indirect losses, lost profit or damage to business reputation caused by the actions of the Threads platform, changes to its rules, or the actions of the Client. The aggregate liability of GoodWill Tech is limited to the amount paid by the Client for the Service over the preceding three months.

13. Changes to these Terms

We may update these Terms. The current version is always available at this address and the date of the last update is shown at the top of the page. We notify Clients of material changes by email.

14. Governing law

These Terms are governed by the law of Ukraine. Disputes are settled through negotiation and, failing agreement, in court under Ukrainian law.
